These Terms and Conditions govern your use of the services provided by Ming Fang Technology Consulting ("we", "us", or "our"). By engaging our services, you agree to be bound by these terms.

1. Services

We provide technology consulting services, including but not limited to: AI solutions architecture, digital transformation consulting, system design and implementation, and technical advisory services. The specific scope of services for each engagement will be defined in a separate Statement of Work or Service Agreement.

2. Intellectual Property

All content on this website, including text, graphics, logos, and software, is the property of Ming Fang or its content suppliers and is protected by international copyright laws. Unless otherwise specified in a Service Agreement, deliverables created specifically for a client project will be owned by the client upon full payment.

We retain ownership of our proprietary methodologies, frameworks, and pre-existing intellectual property used in the delivery of services.

3. Privacy and Data Protection

We are committed to protecting your privacy and handling your data in accordance with applicable privacy laws, including the Australian Privacy Act 1988 and the New Zealand Privacy Act 2020. Personal information collected through our services will be used solely for the purposes of delivering our services and fulfilling our contractual obligations.

4. Confidentiality

We maintain strict confidentiality regarding all client information, business operations, and proprietary data encountered during our engagements. Both parties agree not to disclose confidential information to third parties without prior written consent, except as required by law.

This obligation survives the termination of any service agreement.

5. Limitation of Liability

While we strive to provide the highest quality services, our liability for any claims arising from our services is limited to the fees paid for the specific engagement giving rise to the claim. We are not liable for any indirect, incidental, special, or consequential damages.

We provide our services on an "as is" basis and make no warranties, express or implied, regarding the results that may be achieved through our services.

6. Payment Terms

Payment terms will be specified in each Service Agreement or Statement of Work. Unless otherwise agreed, invoices are payable within 14 days of issue. Late payments may incur interest charges at the rate permitted by applicable law.

7. Termination

Either party may terminate a service engagement in accordance with the terms specified in the relevant Service Agreement. Upon termination, the client remains liable for payment of all services rendered up to the termination date.

8. Governing Law

These Terms and Conditions are governed by the laws of the jurisdiction in which the services are primarily delivered. Any disputes will be resolved through good faith negotiation, and if necessary, through arbitration or litigation in the agreed jurisdiction.

9. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of our services after such modifications constitutes acceptance of the updated terms.
